Official source: North Dakota Secretary of StateOptional corporate kit
Courts look at whether you treated your LLC as a separate company. A corporate kit with seal, membership certificates and a minutes/records binder keeps your operating agreement, resolutions and ownership records in one place, which is the paper trail that helps protect the corporate veil. It is not a guarantee of liability protection and not legal advice. The kit is $79 plus shipping, charged at checkout only if you add it.

The first annual report is due in the calendar year after the year you registered. LLCs and PLLCs: November 15 ($50). Domestic corporations: August 1 ($25). Foreign corporations: May 15. Farming or ranching and Authorized Livestock Farm LLCs and corporations: April 15. Missing the report moves the entity to Not Good Standing, and continued failure leads to dissolution or revocation.
